## Corporate Associate at Goldberg Kohn Law Firm

Goldberg Kohn Law Firm is seeking an experienced Corporate Associate to join their Corporate, Securities and Tax group. The ideal candidate has two to four years of experience analyzing, structuring and documenting mergers, acquisitions, joint ventures, corporate formations and restructurings. Knowledge of tax law issues in mergers and acquisitions and financing transactions would be an asset.

### Responsibilities

* Draft and negotiate a variety of business contracts related to major transactions and day-to-day operations
* Assist in due diligence and structuring work
* Represent public companies, private equity funds, venture-capital backed companies, and family-owned and other closely-held businesses
* Propose efficient structures and practical procedures to help businesses grow through all the phases of their life cycle

### Requirements

* Law degree from a top law school
* Two to four years of experience in corporate law, specifically mergers and acquisitions
* Knowledge of tax law issues in mergers and acquisitions and financing transactions (an asset)
