Job Overview:
A leading law firm is seeking a highly motivated and skilled Corporate Associate Attorney to join its Corporate and Securities practice in Chicago. The ideal candidate will have 2-5 years of significant experience in corporate transactions, with a focus on mergers and acquisitions (M&A) and private equity. The candidate should be prepared to handle a variety of corporate transactions and general business matters, with the ability to represent clients across multiple industries. This role offers a hybrid work arrangement, allowing flexibility while being part of a collaborative and dynamic team.

Location:

  • Chicago, IL

Duties:

  • Handle corporate transactions, including mergers and acquisitions, private equity transactions, and other general business matters.
  • Draft and negotiate acquisition agreements and other documentation used in M&A and private equity transactions.
  • Manage venture capital investment transactions, including working with NVCA template agreements.
  • Provide general legal counseling to clients across various industries on transactional and non-transactional matters.
  • Work closely with senior attorneys and clients to provide strategic guidance on complex business matters.
  • Represent clients in a range of corporate matters, including structuring deals and negotiating terms.

Requirements:

  • 2-5 years of experience in corporate law, with a focus on M&A and private equity transactions.
  • Strong working knowledge of acquisition agreements and documentation used in complex M&A and private equity transactions.
  • Experience with venture capital investment transactions and NVCA template agreements is a plus.
  • Proven ability to represent clients in a variety of industries and provide comprehensive legal counsel.
  • High level of maturity and professional demeanor, with strong interpersonal skills.
  • Ability to manage multiple transactions simultaneously and meet deadlines effectively.

Education:

  • Juris Doctor (.) degree from an accredited law school.

Certifications:

  • Active membership in the State Bar of Illinois (or eligibility to obtain it).

Skills:

  • Expertise in corporate transactions, M&A, private equity, and venture capital.
  • Strong drafting, negotiation, and communication skills.
  • Ability to handle complex transactions and provide strategic business advice.
  • Client-focused, with the ability to build and maintain strong client relationships.
