Job Overview:
A leading law firm is seeking a highly motivated and skilled Corporate Associate Attorney to join its Corporate and Securities practice in Chicago. The ideal candidate will have 2-5 years of significant experience in corporate transactions, with a focus on mergers and acquisitions (M&A) and private equity. The candidate should be prepared to handle a variety of corporate transactions and general business matters, with the ability to represent clients across multiple industries. This role offers a hybrid work arrangement, allowing flexibility while being part of a collaborative and dynamic team.
Location:
Duties:
- Handle corporate transactions, including mergers and acquisitions, private equity transactions, and other general business matters.
- Draft and negotiate acquisition agreements and other documentation used in M&A and private equity transactions.
- Manage venture capital investment transactions, including working with NVCA template agreements.
- Provide general legal counseling to clients across various industries on transactional and non-transactional matters.
- Work closely with senior attorneys and clients to provide strategic guidance on complex business matters.
- Represent clients in a range of corporate matters, including structuring deals and negotiating terms.
Requirements:
- 2-5 years of experience in corporate law, with a focus on M&A and private equity transactions.
- Strong working knowledge of acquisition agreements and documentation used in complex M&A and private equity transactions.
- Experience with venture capital investment transactions and NVCA template agreements is a plus.
- Proven ability to represent clients in a variety of industries and provide comprehensive legal counsel.
- High level of maturity and professional demeanor, with strong interpersonal skills.
- Ability to manage multiple transactions simultaneously and meet deadlines effectively.
Education:
- Juris Doctor (.) degree from an accredited law school.
Certifications:
- Active membership in the State Bar of Illinois (or eligibility to obtain it).
