Job Overview:
A reputable law firm in Boston, MA is seeking an experienced Associate Attorney specializing in Commercial Mortgage-Backed Securities (CMBS) to join their dynamic Finance & Real Estate practice. The ideal candidate will have 3-6 years of experience in securitization and will be involved in complex CMBS transactions, working alongside a team of professionals that represents a wide range of clients, including issuers, underwriters, servicers, and investors. This is an excellent opportunity to gain exposure to high-profile deals within a supportive and collaborative environment.

Duties:

  • Assist in the preparation of bid letters, confidentiality agreements, securitization disclosure, and operative documents such as pooling and servicing agreements, mortgage loan purchase agreements, and investor certifications.
  • Manage key aspects of transactions, from due diligence through to closing, while working as an integral member of the deal team.
  • Negotiate complex securitization agreements and documents, ensuring that all necessary legal and regulatory requirements are met.
  • Provide counsel and legal support in the structuring and execution of commercial real estate repurchase facilities and warehouse lending transactions.
  • Collaborate with senior attorneys and clients on strategic planning and legal guidance throughout the securitization process.

Requirements:

  • 3-6 years of experience in securitization, specifically related to commercial mortgage-backed securities (CMBS).
  • Strong familiarity with the preparation and negotiation of complex financial and securitization documentation.
  • Experience working on commercial real estate transactions, including repurchase facilities and warehouse lending.
  • Proven ability to manage multiple aspects of transactions with strong attention to detail and deadline adherence.
  • Demonstrated ability to work effectively both independently and as part of a collaborative team.
  • Large law firm experience is highly preferred.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to the Bar in the state of Massachusetts.
