If you have 2-6 years of large law firm experience representing private fund sponsors and institutional investors, this could be the perfect opportunity for you. As an Associate in this department, you will have the chance to work on all aspects of fund formation, structuring, capital raising, compliance, and ongoing management of alternative investment funds across different strategies.

Responsibilities include:

- Drafting limited partnership agreements and limited liability company agreements for private investment funds
- Understanding market fund terms and negotiating issues during the fund offering process
- Reviewing fund documents on behalf of institutional investors
- Preparing offering documents and ensuring compliance with securities laws
- Familiarity with the Advisers' Act and exemption, registration, and compliance issues for fund managers
- Interacting with and advising clients and colleagues throughout the transaction process
- Strong academic record and excellent writing and communication skills

This is a national search, with a focus on markets including New York, Baltimore, Charlotte, Charlottesville, Chicago, Pittsburgh, Richmond, Dallas, Los Angeles - Century City, and Washington, .
