Law firm McGuireWoods is seeking a talented Associate to join their highly respected Corporate and Private Equity Department in Chicago. This is an exciting opportunity to work on a variety of complex fund formation matters for top private fund sponsors and institutional investors.

If you have 2-6 years of large law firm experience representing private fund sponsors and institutional investors, this could be the perfect opportunity for you. As an Associate in this department, you will have the chance to work on all aspects of fund formation, structuring, capital raising, compliance, and ongoing management of alternative investment funds across different strategies.

Responsibilities include:

- Drafting limited partnership agreements and limited liability company agreements for private investment funds
- Understanding market fund terms and negotiating issues during the fund offering process
- Reviewing fund documents on behalf of institutional investors
- Preparing offering documents and ensuring compliance with securities laws
- Familiarity with the Advisers' Act and exemption, registration, and compliance issues for fund managers
- Interacting with and advising clients and colleagues throughout the transaction process
- Strong academic record and excellent writing and communication skills

This is a national search, with a focus on markets including New York, Baltimore, Charlotte, Charlottesville, Chicago, Pittsburgh, Richmond, Dallas, Los Angeles - Century City, and Washington, . Job Requirements:

- 2-6 years of large law firm experience representing private fund sponsors and institutional investors
- Familiarity with all aspects of fund formation, structuring, capital raising, compliance, and ongoing management of alternative investment funds
- Strong drafting skills for limited partnership agreements and limited liability company agreements
- Knowledge of market fund terms and experience negotiating during the fund offering process
- Understanding of securities laws, including Regulation D, and experience preparing offering documents
- Familiarity with the Advisers' Act and related exemption, registration, and compliance issues for fund managers
- Strong academic record, excellent writing and oral communication skills, and ability to work independently with clients and colleagues

Experience Information:

- 2-6 years of large law firm experience representing private fund sponsors and institutional investors
- Experience with fund formation, structuring, capital raising, compliance, and ongoing management of alternative investment funds
