Job Title: - Assistant General Counsel - Corporate and Securities Experience: - 5+ years of law experience or equivalent Salary: - $144, - $300, Job Description: The Assistant General Counsel will be responsible for advising senior management on corporate disclosures, corporate treasury activities, and corporate governance. They will also handle various corporate governance activities and provide legal advice on securities law compliance matters. The ideal candidate will have 5+ years of experience in law and be an active member of the State Bar or equivalent in a country outside the United States. Responsibilities: - Advise on public company matters, including SEC filings and other public disclosures, corporate treasury activities, corporate governance, and securities law compliance matters. - Review and advise on compliance with securities law requirements and best practices for significant environmental, social and governance disclosures. - Advise the corporate treasury team on capital markets, securities, and funding transactions. - Participate in and handle various corporate governance activities. - Provide legal advice on securities law compliance matters, capital markets activities, disclosure controls and procedures, and corporate governance best practices. - Handle matters that have a significant impact on the company's operations, funding, and reputation. - Provide legal expertise on implementing and completing significant corporate disclosures, corporate treasury transactions, and public company governance activities. Qualifications: - 5+ years of law experience or equivalent - Active State Bar membership or equivalent in a country outside the United States - 5+ years of knowledge and experience advising publicly traded companies on SEC filings and other public disclosures, corporate treasury, corporate governance, and securities law compliance matters. - Strong securities and corporate law background, including knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and corporate governance principles for publicly traded companies. - Familiarity with disclosure controls and procedures applicable to publicly traded companies. - Financial services industry experience. - Strong attention to detail and accuracy. - Excellent verbal, written, and interpersonal communication skills. - Ability to work effectively in a complex environment with a high degree of collaboration. - Ability to analyze, develop, and execute solutions to complex legal issues. Job Expectations: - Ability to work a hybrid schedule (in office at least 3 days a week) at one of our approved job posting locations.
