Senior Counsel, Corporate Legal – Securities and Compliance Expertise Needed

Join the **Members Only** Legal Team as a Senior Counsel, Corporate Legal, and utilize your extensive knowledge of securities law and SEC compliance to support our growing company. This role offers the opportunity to work on a wide range of corporate matters and collaborate with cross-functional teams.

Responsibilities:

- Advise on securities law and SEC compliance, including public company reporting and Section 16 compliance
- Partner with treasury-capital markets team and other legal and cross-functional teams on capital markets transactions and strategy
- Draft and review public disclosures and corporate communications
- Support Corporate Secretary team on corporate governance matters
- Provide legal support on a variety of other corporate matters

Qualifications:

- Minimum of 8 years of corporate legal experience at a law firm and/or in-house
- Experience working with public companies, including SEC reporting and capital market transactions

- Experience negotiating and managing VC-style minority investments
- Ability to lead cross-functional teams and projects
- Strong analytical and legal skills
- Excellent business acumen and judgment
- Collaborative approach with both business and legal groups

- Ability to effectively communicate complex legal issues to non-legal colleagues

Compensation:

- Base salary range of $243,000 - $270,000 per year, depending on location (New York, NY or San Francisco, CA)
- Eligibility for **Members Only**'s bonus program and potential equity awards
