Job Overview:
A prominent law firm is seeking a skilled and motivated Commercial Finance Associate with a strong background in acquisition financing, agented syndicated secured financings, fund finance, and/or healthcare financings. The ideal candidate will have experience in negotiating and drafting complex financial agreements, a working knowledge of Article 9 of the UCC, and a passion for client interaction. This is an excellent opportunity to join a growing Corporate Practice Group with exposure to high-level transactions and a collaborative team environment.

Duties:

  • Provide legal counsel and representation in acquisition financing, leveraged finance, syndicated secured financings, and fund finance transactions.
  • Draft, negotiate, and review complex loan agreements, intercreditor agreements, and other related documents.
  • Advise clients on healthcare financings and related regulatory considerations.
  • Develop and maintain client relationships while assisting in business development efforts.
  • Collaborate closely with senior attorneys, including the Corporate Practice Group Chair and Banking and Finance interdisciplinary team leads.
  • Support the firm's corporate practice in sophisticated transactional matters.

Requirements:

  • 5 years of experience in commercial finance law, including acquisition financing, leveraged finance, and syndicated secured financings.
  • In-depth understanding of Article 9 of the UCC and financing structures.
  • Experience in intercreditor agreements and agreements among lenders is a plus.
  • Strong drafting, negotiating, and analytical skills.
  • Desire for meaningful client contact and participation in business development.
  • Ability to work in a fast-paced, team-oriented environment.

Education:

  • . from an accredited law school.

Certifications:

  • Admission to the Illinois Bar is required (or ability to obtain IL Bar admission within a reasonable timeframe).
