The ideal candidate will work with regional and national clients as a member of the Capital Markets & Securities and Corporate Governance practice team. Responsibilities and Qualifications: - Knowledge of federal securities laws, rules and regulations, and listing standards - Experience with various filings and documents such as Forms 8-K, 10-Q and 10-K, registration statements, Section 16 filings, 10b5-1 trading plans, annual proxy statements, and other related filings - Familiarity with governance policies and practices, including committee charters, corporate governance guidelines, insider trading, and preparation of board materials and minutes - Understanding of annual shareholder meeting requirements and mechanics - Experience in both public and private securities offerings - Ability to provide securities support for mergers and acquisitions, strategic investments, and other corporate transactions - Strong writing and oral communication skills - Ability to manage a fast-paced workload, prioritize tasks, and anticipate potential issues - Professional commitment and interpersonal skills to work in a collaborative cross-office team environment - Must be admitted to practice law in the state where the candidate will reside Location: This position is available in multiple locations, including Atlanta, GA; Cincinnati, OH; Cleveland, OH; Columbus, OH; Orlando, FL; and Washington, DC.
