Job Overview:
A prestigious law firm based in Austin, TX, is seeking a Senior Project Finance Associate to join its expanding Financial Services Practice. This role is ideal for an experienced attorney with a background in project finance, particularly with a focus on complex financing structures. The successful candidate will bring a deep understanding of drafting and negotiating key financing documents and will be capable of managing client relationships and high-level transactions.

Duties:

  • Lead negotiations and draft a variety of project finance agreements, including credit facilities, letters of credit, and performance/payment bonds.
  • Provide strategic guidance on bankability analysis of project documents.
  • Negotiate engineering, procurement, and construction (EPC) contracts, balance of plant agreements, supply agreements (transformers, modules, BESS, turbines, inverters), as well as offtake and tolling agreements.
  • Independently negotiate and manage security documents, such as security agreements, pledge agreements, financing statements, and control agreements.
  • Oversee due diligence for project documents, including conducting thorough legal reviews of project agreements.
  • Advise clients on the preparation and execution of New York law-governed legal opinions, direct agreements, consents to collateral assignments, and reliance letters.
  • Maintain effective communication and collaboration with clients, internal teams, and external partners.

Requirements:

  • 4-6 years of experience in project finance, preferably with exposure to both lender and borrower-side matters.
  • Proven expertise in drafting project finance credit agreements, security documents, legal opinions, and a wide range of project agreements (., EPC contracts, offtake agreements, supply agreements).
  • Strong understanding of complex financial structures, including tax equity bridge loans, back-leverage financings, and pre-NTP financings.
  • Ability to work both independently and as part of a collaborative team in a fast-paced environment.
  • Demonstrated leadership and entrepreneurial skills in managing projects and client relationships.

Education:

  • Juris Doctor (.) from an accredited law school.

Certifications:

  • Licensed to practice law in Texas (or willing to become licensed in the jurisdiction).
