# Senior Counsel, Innovation & Contracts

Gap Inc. is looking for an experienced and dynamic attorney to join its Global Legal team as a Senior Counsel, Innovation & Contracts. This position will provide strategic legal guidance and support to business partners for each of Gap’s purpose-led, billion-dollar lifestyle brands, Gap, Old Navy, Athleta and Banana Republic, as well as corporate functional teams. The ideal candidate is a solution-oriented strategic thinker with sound judgement, who will provide practical guidance and manage multiple complex and high-value matters simultaneously and often under time pressure.

## Responsibilities

- Draft, review, negotiate and drive to resolution, a broad range of agreements related to technology, privacy, software, SaaS, innovation projects, payments, e-commerce, marketing and advertising, transportation and logistics, and other areas as dictated by business needs
- Provide full support with respect to transactions that support strategic and innovation related partnerships, joint development, IP acquisition, and privacy matters
- Proactively engage with and support business partners on innovation initiatives (including AI) as dictated by business need to ensure long-term competitive advantage
- Provide strategic legal and business advice to facilitate long-term relationships with key internal business partners
- Provide commercially oriented, practical and strategic legal advice and guidance to the business in relation to all aspects of complex and high-value third party agreements (in particular those with an innovation and/or technology focus)
- Manage numerous projects and complex matters simultaneously under deadline pressure, working effectively and collaboratively with internal stakeholders
- Contribute as appropriate to the evolution of our processes and policies including use of tools and databases or trackers to drive towards efficiencies and productivity

## Qualifications

- JD Required: Licensed to practice law in the US with 5+ years of experience in a reputable law firm and/or multinational companies required; in house experience greatly preferred.
- Experience in drafting, negotiating, counseling and problem solving a broad range of transactions is a prerequisite: ranging from digital and technology, SaaS, ecommerce, fabric and product innovation, research and development, transportation and logistics, marketing and advertising, consulting services.
- In-house experience in the retail, commercial or consumer products industry, and/or privacy experience (with knowledge of . state and UK/EU privacy laws, AI, and AdTech) is a plus.
- Practical mindset with demonstrated ability to provide strategic counseling to business partners that balances legal considerations and business objectives, cutting through complexities deftly and driving to solutions.
- Excellent communication, collaboration, decision making, problem solving and influencing skills.
- Emotional intelligence and ability to work cross-functionally with stakeholders at all levels and effectively navigate matrixed organizations.
- Ability to handle multiple complex matters concurrently and often under time pressure, and effectively prioritize work to efficiently achieve business objectives.
- Excellent judgment and integrity with a demonstrated commitment to inclusion, diversity and community involvement/pro-bono work.

## Salary Range

$152,100 - $207,600 USD

Employee pay will vary based on factors such as qualifications, experience, skill level, competencies and work location. We will meet minimum wage or minimum of the pay range (whichever is higher) based on city, county and state requirements.
