Job Overview: A distinguished law firm in San Francisco is seeking a Private Equity Attorney with 4-5 years of experience in private equity, mergers, and acquisitions. The candidate will play a key role in supporting private equity fund clients and their portfolio companies. This position is ideal for a professional with strong business judgment, who thrives in a collaborative and fast-paced environment and is looking to contribute to complex transactional projects.

Duties:

  • Lead the drafting and negotiation of purchase and merger agreements.
  • Draft and review LLC, LP, and other ancillary transaction documents.
  • Support private equity fund clients and portfolio companies in day-to-day legal matters.
  • Act as a strategic extension of client business teams.
  • Collaborate closely with internal and external teams in a dynamic work environment.
  • Ensure transactions are executed efficiently while maintaining high attention to detail.

Requirements:

  • 4-5 years of experience in private equity and mergers and acquisitions.
  • Experience with drafting and negotiating legal agreements such as purchase and merger agreements, LLC, LP agreements, and related documents.
  • Prior experience in a large law firm environment, particularly with private equity sponsors.
  • Ability to manage multiple projects and prioritize in a fast-paced, team-oriented environment.
  • Strong business judgment and strategic thinking skills.

Education:

  • A Juris Doctor (JD) from an accredited law school with excellent academic credentials.

Certifications:

  • Active Bar membership in the state of California (or the ability to obtain membership promptly).

Skills:

  • Excellent drafting, writing, and analytical skills.
  • Strong attention to detail and organizational skills.
  • Exceptional verbal and interpersonal communication abilities.
  • Strong project management skills and ability to meet deadlines.
  • Ability to work both independently and as part of a team.
