Job Overview: A distinguished law firm in San Francisco is seeking a Private Equity Attorney with 4-5 years of experience in private equity, mergers, and acquisitions. The candidate will play a key role in supporting private equity fund clients and their portfolio companies. Duties:
- Lead the drafting and negotiation of purchase and merger agreements.
- Draft and review LLC, LP, and other ancillary transaction documents.
- Support private equity fund clients and portfolio companies in day-to-day legal matters.
- Act as a strategic extension of client business teams.
- Collaborate closely with internal and external teams in a dynamic work environment.
- Ensure transactions are executed efficiently while maintaining high attention to detail.
Requirements:
- 4-5 years of experience in private equity and mergers and acquisitions.
- Experience with drafting and negotiating legal agreements such as purchase and merger agreements, LLC, LP agreements, and related documents.
- Prior experience in a large law firm environment, particularly with private equity sponsors.
- Ability to manage multiple projects and prioritize in a fast-paced, team-oriented environment.
- Strong business judgment and strategic thinking skills.
Education:
- A Juris Doctor (JD) from an accredited law school with excellent academic credentials.
Certifications:
- Active Bar membership in the state of California (or the ability to obtain membership promptly).
