A law firm in Minneapolis is seeking a highly experienced and knowledgeable Employee Benefits and Executive Compensation Attorney to join their team. The ideal candidate will play a crucial role in providing counsel on a wide range of employee benefits and executive compensation matters, with a focus on mergers, acquisitions, and divestitures.

 

Job Details:

  • Conduct comprehensive research on tax and ERISA issues related to the design and operation of retirement plans, welfare and fringe benefit plans, compensation arrangements, and executive agreements and plans.
  • Stay updated on statutory and regulatory changes and provide strategic advice to clients on effective compliance strategies.
  • Assisted in due diligence processes, reviewed purchase agreements, handled plan terminations, and managed benefits integration in the context of corporate transactions.
  • Draft a variety of legal documents, including employment agreements, equity, and phantom equity incentive arrangements, and transaction bonus agreements.
  • Manage and complete IRS and Department of Labor correction program filings.

 

Requirements:

  • A minimum of 4-6 years of relevant experience in employee benefits and executive compensation law.
  • Strong understanding of tax and ERISA issues impacting retirement plans, welfare and fringe benefit plans, compensation arrangements, and executive agreements.
  • Experience in providing counsel on benefits and compensation matters within mergers, acquisitions, and divestitures.
  • Familiarity with ESOPs, multiemployer plan withdrawal liability, and Internal Revenue Code Section 409A compliance is preferred.

 

Education:

  • Juris Doctor (.) from an accredited law school.
  • Admission to the Bar in the relevant jurisdiction.

 

Certifications:

Certification in Employee Benefits Law or related fields is a plus.

  • Strong drafting and negotiation skills.
  • Effective communication and interpersonal abilities.
  • Detail-oriented with a high level of accuracy.
