Responsibilities:
The General Counsel - Corporate Governance and Securities Governance will work closely with a nine-person legal team and report directly to the Chief Legal Counsel for Quantinuum. This role will have primary responsibility for corporate governance and securities matters, while also supporting other areas such as treasury and tax transactions, human resources, ethics and compliance, and general commercial contracting.

Key Responsibilities:
• Ensure compliance with . securities laws and regulations
• Develop and implement effective corporate governance policies
• Provide legal counsel and support to the board of directors and executive leadership
• Establish policies and procedures to prevent insider trading
• Develop and implement a comprehensive compliance program
• Manage legal proceedings related to securities laws
• Provide legal guidance on cross-border securities transactions
• Collaborate with internal stakeholders and external legal counsel
• Draft and negotiate various commercial agreements
• Handle other legal matters as needed

Requirements:
• Juris Doctor (.) degree
• Minimum 8+ years of experience as a practicing attorney
• Member of the bar for at least one . State
• Must have work authorization in the United States
• Strategic thinker with strong communication skills
• Demonstrates high levels of ownership and accountability

Compensation and Benefits:
• Base salary of $266,000 - $355,220 per year, inclusive of bonus target
