Job Overview: A law firm is seeking a Mid-level Investment Funds Associate Attorney with 4-6 years of significant experience in private equity fund formation to join its Investment Funds practice. The ideal candidate will have experience assisting private equity fund sponsors with fund formation, preparing and negotiating fund documentation, and providing advice on fund management structures. This role offers the opportunity to work on complex fund formation matters and collaborate with institutional investors. The position is available in multiple office locations, including New York, Chicago, and Charlotte.

Location:

  • New York, NY

Duties:

  • Assist private equity fund sponsors with fund formation matters.
  • Draft and negotiate private placement memoranda, partnership agreements, and ancillary agreements.
  • Review fund documentation on behalf of institutional investors and negotiate fund terms.
  • Structure and draft governing documents for private equity fund management companies and general partners.
  • Advise clients on relevant securities laws and regulations, including the Investment Advisers Act.
  • Participate in private equity secondary transactions and GP-led restructurings (preferred but not required).

Requirements:

  • 4-6 years of experience in private equity fund formation and related legal matters.
  • Experience working in a large law firm or in-house setting on fund formation and investor negotiations.
  • Strong knowledge of the Investment Advisers Act and other relevant securities regulations.
  • Experience with secondary transactions and GP-led restructurings is a plus.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to work both independently and collaboratively in a fast-paced environment.

Education:

  • Juris Doctor (.) degree from an accredited law school.

Certifications:

  • Admission to the state bar of the office location (New York, Chicago, or Charlotte).

Skills:

  • Expertise in private equity fund formation and management structures.
  • Strong understanding of securities regulations and compliance.
  • Ability to manage complex fund formation transactions.
  • Strong research, analytical, and organizational skills.
