Director, Transactions Legal Counsel

BlackRock is seeking an experienced Director, Transactions Legal Counsel to join our Legal and Compliance team. In this role, you will be responsible for overseeing and negotiating a wide range of strategic M&A, private equity, and capital markets transactions across North America. This is a full-time position located in our New York office at Hudson Yards.

Responsibilities include:

- Acting as lead transaction counsel and managing all aspects of private equity investments, joint ventures, co-investments, private placements, and more on behalf of BlackRock funds and accounts under management.
- Collaborating with external deal counsel, portfolio managers, tax, and compliance teams to execute transactions effectively.
- Providing legal advice and support to internal stakeholders regarding investment processes and regulations.
- Coordinating with compliance teams on regulatory matters, including conflicts of interest and insider information.
- Analyzing and managing various regulatory issues affecting BlackRock's investment platform.
- Conducting training sessions for the business and staying up-to-date on market terms and conditions.
- Adhering to investment processes and operational standards.

Requirements:

- . with exceptional academic credentials from a nationally-recognized law school.
- 8-14 years of experience as a lawyer in a major law firm or legal department of an asset manager, investment bank, or other leading organization.
- Detailed legal knowledge of M&A, private equity, co-investments, preferred stock, and corporate finance transactions.
- Experience advising fund managers and non-bank institutions as lenders or investors is a plus.
- Ability to effectively manage outside counsel and internal stakeholders.
- Strong organizational skills and ability to handle multiple time-sensitive matters in a fast-paced environment.
- Motivated team player with the potential to lead as necessary.
- Exceptional interpersonal, analytical, written, and oral communication skills.

Salary and Benefits:

- Salary range for this position is $233,000-$272,500.
- Annual discretionary bonus.
- Health care, leave, and retirement benefits.
- Hybrid work model, with 4 days in the office and 1 day remote.
