Summary:

The Senior Corporate Paralegal is responsible for drafting, analyzing and managing complex legal documents, providing legal support for M&A transactions, and managing compliance with NYSE listing standards. They also support the legal team in various tasks such as preparing reports, training materials, and coordinating with external auditors. The position requires a university degree and relevant paralegal certificate, as well as 7+ years of experience. The ideal candidate should possess excellent communication, organization, and time management skills, as well as knowledge of corporate structures and legal requirements. This is a full-time position with no shift premium, and may involve occasional travel.

Salary Information:

The salary for a Senior Corporate Paralegal can range from $80,000 to $120,000 per year, depending on experience and location.

Job Title:

Experience Information:

7+ years of experience in a corporate paralegal role is required for this position.

Responsibilities:

- Draft, analyze, and manage complex legal documents
- Prepare a wide variety of legal filings, reports, and research
- Develop financial tools and models, prepare trend analyses and other reports for annual planning, and manage corporate databases and systems
- Assist attorneys with complex legal matters and client issue resolution
- Make recommendations regarding legal matters and direct fact investigation for client engagements
- Advise Administrative Assistants on record retention needs and efforts
- Support M&A transactions, including due diligence, non-disclosure agreements, coordination of closing deliverables, state corporate filings, securities filings, M&A-related regulatory investigations, and oversight of billing and budgeting matters
- Support M&A integration and separation planning activities, including cross-functional coordination with stakeholders and specialists to develop and execute on plans to integrate people, processes, policies, systems, and contracts
- Develop trainings, playbooks, and team resources
- Embrace and adopt AI, and other new technologies, to drive efficiencies
- Coordinate legal and internal stakeholder input
- Support filings of proxy statements, registration statements (Forms S-8 and Forms S-3), and related materials
- Assist with legal and filing support for Section 16 reporting
- Manage and coordinate NYSE listing standards compliance
- Provide overall legal support for insider trading policy compliance and Rule 10b5-1 plans, including maintaining blackout list, and responsible for oversight of pre-clearance process
- Manage and coordinate with stock transfer agent, including share repurchase programs, dividends. Collaborate with compensation and external reporting team for stock reconciliation
- Manage dividend process, including board and committee approval process, NYSE notification, transfer agent coordination, and collaborating with Treasury and Communications on dividend tasks
- Review and coordinate gathering of information, materials, documents, reports, and evidence necessary to respond to due diligence requests related to public and private equity and debt offerings
- Manage ISS/Glass Lewis data verifications and monitor company’s score status
- Prepare drafts and coordinate execution of Legal Department representation letters or requests for representation letters
- Coordinate with external auditor to provide required support materials related to certain SEC filings

Education and Experience Required:

- University degree preferred
- Relevant paralegal certificate preferred
- Advanced studies preferred
- 7+ years experience

Knowledge and Skills:

- Superior paralegal knowledge
- Excellent communication skills, including written communication
- Superior organization, time management, project management, and leadership skills
- Superior ability to analyze facts and issues
- Superior knowledge of corporate structures and vendor/supplier relationships
- Superior knowledge of various state and federal legal requirements
- Superior proficiency at drafting various legal documents
- Superior ability to utilize internal databases
- Familiarity with certain legal requirements outside the
- Strong ability to self-motivate and multi-task
- Excellent document management skills
- Strong computer proficiency with Microsoft office applications
