**POSITION SUMMARY:** We are seeking a Transactional Counsel to join Audax Group’s 15 person in-house legal and compliance team. The role will provide legal advice and support to transactions and fund-related matters for Audax’ Private Debt business as well as their external stakeholders.

**RESPONSIBILITIES:**

- Advise investment teams, finance, operations teams as well as external stakeholders including services providers and outside counsel, to ensure that deals close smoothly.
- Provide legal and market advice for early stage proposed investments and/or bids, including populating deal term grids and reviewing and commenting on commitment letters and term sheets.
- Review proposed amendments to existing investment documentation (debt and equity).
- Track general changes in market for all relevant financing and minority equity terms and provide timely responses to questions on terms that have been agreed to in all previous deals in the portfolio.
- Coordinate with investment teams and operations teams, and outside services provider teams, on funding capabilities, interest calculations, and other mechanical elements of credit agreement administration.
- Respond to issues lists on credit and equity documents prepared by outside counsel and participate in related calls.
- Oversee review of non-disclosure agreements and other high-volume agreements.
- Maintain and update form term sheets and commitment letters and form credit agreement and related documents.
- Strategize with investment teams on troubled credits and help manage related interactions with outside counsel.
- Oversee and manage relationships with outside counsel, including reviewing invoices for legal fees.
- Work with Investor Relations team to respond to investor requests regarding deal and market terms.
- Work with investment teams, finance, and operations teams to review documentation related to subscription lines, ABLs and CLOs, weigh in on structuring/market terms/asset mix and type of financing.

**REQUIREMENTS/QUALIFICATIONS:**

- and current bar admission.
- Five to seven years of legal experience working on borrower and/or lender-side financing transactions.
- Experience at the senior associate level within Biglaw firm, major corporation, investment management, or private equity environment.
- Proven technical, research, analytical skills, and decision-making capabilities.
- Highly demonstrated project management skills with proven ability to manage self and team through multiple competing project priorities.
- Proven ability to work autonomously as a self-starter yet understands the necessity to advise management of work progress, issues and/or roadblocks as they arise.
- Proficient knowledge of equity investments, fund structuring, fund financing and risk retention rulesa plus.
- Occasional travel is required.

**LOCATION:** New York, NY. This position is in the office 4 days/week. These in-office requirements may be adjusted based on the needs of the business.

**SALARY:** For New York City only: The base salary range for this position is $195,000/yr. - $235,000/yr. with eligibility for an annual discretionary bonus based on performance. The base salary range represents the estimated low and high end for this position at the time of this posting.
