Overview:
Quantinuum is seeking a General Counsel – Corporate Governance and Securities Governance for our Broomfield, CO, Brooklyn Park, MN, Golden Valley, MN or remote location(s). The General Counsel will work closely with a nine-person legal team and report directly to the Chief Legal Counsel. This role will focus on a broad range of corporate matters, with primary responsibility for corporate governance and securities.

Responsibilities:
- Ensure compliance with . securities laws, regulations, and reporting/disclosure procedures
- Develop and maintain effective corporate governance policies and practices
- Provide legal counsel and support to the board of directors and executive leadership
- Establish and enforce policies and procedures to prevent insider trading
- Develop and implement a comprehensive compliance program for . securities laws
- Manage legal proceedings and enforcement actions related to securities laws
- Provide guidance on cross-border securities transactions and ensure compliance with . laws
- Collaborate with internal stakeholders, external legal counsel, auditors, and regulators
- Draft and negotiate various commercial agreements

Requirements:
- Juris Doctor (.) degree minimum
- Minimum 8+ years of experience as a practicing attorney
- Member of the bar for at least one . State
- Must have work authorization that does not require sponsorship of a visa for employment in the United States

Salary & Benefits:
- Annual salary range: $266,000 - $355,220 (inclusive of bonus target)
