Job Duties



The corporate and transactional paralegal will be responsible for a wide range of duties, including:

  • Drafting corporate-related documents such as articles, bylaws, minutes, consents, operating agreements and shareholder agreements.

  • Filing corporate-related documents and assisting with SEC filings.

  • Proofreading commercial contracts and other legal documents.

  • Developing and maintaining strong relationships with potential and existing clients.

  • Providing exceptional customer service.



Ideal Candidate



The ideal candidate for the corporate and transactional paralegal position will have the following qualifications:

  • Experience drafting corporate-related documents such as company formation, bylaws, board minutes, consents and founder’s agreements.

  • Experience drafting and filing various corporate-related documents and assisting with SEC filings.

  • Experience assisting attorneys with drafting and proofreading commercial contracts.

  • A proven ability to handle confidential information with discretion.

  • The ability to handle multiple initiatives in a fast-paced environment.

  • An entrepreneurial, business-minded attitude and an exceptional work ethic and drive.

  • Excellent communication skills and the ability to develop lasting business relationships.

  • Extremely detail-oriented, organized and proactive.

  • Self-starter with the ability to work independently and remotely.

  • Experience working with technology companies a plus.

  • Experience with cap tables a plus.
