Job Overview:

A well-established law firm is currently seeking a Senior Project Finance Associate Attorney with 4-6 years of experience to join its thriving financial services practice in Dallas, TX. The ideal candidate will have hands-on experience with various project financing structures, including tax equity bridge loans, backleverage financings, and pre-NTP financings. The candidate will possess strong drafting and negotiation skills, including experience with credit facilities, letters of credit, performance bonds, and project documents. In addition, the position requires a deep understanding of bankability analysis, and the ability to independently negotiate security documents and manage complex due diligence processes.

Duties:

  • Draft and negotiate a wide range of project finance documents, including credit facilities, letters of credit, performance and payment bonds.
  • Conduct bankability analysis on project documents.
  • Negotiate and manage engineering, procurement, and construction contracts, supply agreements, offtake agreements, and tolling agreements.
  • Independently negotiate and draft associated security documents, such as security agreements, pledge agreements, financing statements, and control agreements.
  • Manage NY-law legal opinions, direct agreements, collateral assignment consents, and reliance letters.
  • Lead and execute due diligence processes on project documents.
  • Provide legal support in both lender-side and borrower-side project financings.
  • Work collaboratively with colleagues and clients, ensuring that all aspects of financing transactions are properly addressed and executed.

Requirements:

  • 4-6 years of experience in project finance, preferably with exposure to both lender and borrower-side matters.
  • Proven track record in drafting and negotiating project finance credit agreements, security documents, and project contracts.
  • Solid experience conducting bankability analyses and managing legal due diligence.
  • Ability to independently manage complex project financings.
  • Strong ability to collaborate with clients, stakeholders, and team members.
  • Ability to work efficiently under pressure and adapt in a fast-paced environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Must be licensed to practice law in Texas or eligible for admission to the Texas Bar.

Skills:

  • Expertise in project finance and related agreements (EPC, supply, offtake, etc.).
  • Strong negotiation and communication skills.
  • Excellent drafting and analytical abilities.
  • Ability to manage complex transactions and legal documents.
  • Comfortable handling and providing advice on due diligence processes.
  • Capable of working both independently and as part of a team.
