Key Responsibilities:

- Work on fund formation engagements, including drafting and negotiations of limited partnership agreements, subscription agreements, and side letter agreements
- Review and complete legal documents such as private placement memoranda
- Draft general partner and management company arrangements
- Ensure regulatory compliance for private equity and venture capital firms
- Collaborate with clients to understand their needs and provide exceptional service
- Stay up-to-date on relevant laws and regulations related to fund formation



Qualifications:

- At least three years of experience in fund formation for private equity and venture capital sponsors and their investors
- Knowledge of the Securities Act, Investment Company Act, and Investment Advisers Act
- Self-starter with excellent professional judgment and strong work ethic
- Highly motivated to provide exceptional client service
- Ability to thrive in a collaborative environment
- Experience at a large law firm preferred
