A law firm located in Boston, MA is seeking a highly skilled Private Equity Attorney to join their team. This position offers the opportunity to work on client projects across cutting-edge practices, industries, and borders. The ideal candidate will handle diligence on M&A transactions, support leveraged buy-out transactions, and represent clients in equity grants and corporate governance matters. This role requires a proactive, detail-oriented individual with a strong interest in transactional work.
Duties and Responsibilities:
- Act as the primary attorney responsible for diligence on M&A transactions.
- Support leveraged buy-out transactions across all facets.
- Represent clients in connection with daily matters including equity grants and corporate governance.
- Analyze complex legal issues and apply legal principles and research to specific facts.
- Produce timely, accurate, and well-reasoned work product.
- Communicate effectively, both verbally and in writing, with partners, clients, staff, and third parties.
- Respond to correspondence, answer phone calls, and produce deliverables efficiently.
- Manage deadlines and expectations in a responsive manner.
- Maintain sustained and intense concentration for extended periods.
- Work under pressure to meet deadlines and client satisfaction.
- Participate in telephonic conferences, meetings at client offices, and firm-related meetings.
- Travel as required for client meetings, advocacy before tribunals or government agencies, and business development activities.
- Mentor and supervise junior lawyers and staff.
- Foster relationships and anticipate clients’ needs for continued engagement.
- Observe all firm policies and practices.
Requirements:
- JD degree.
- Admitted to practice in Massachusetts.
- 3+ years of transactional law experience, including direct and applicable AmLaw 100 law firm or SEC experience.
Education:
- Juris Doctor (JD) degree.
Certifications:
- Admission to the Massachusetts Bar.
