Responsibilities:

- Assist in M&A and other business transactions, including due diligence reviews and preparing transactional documents
- Draft and review contracts and agreements related to business transactions and corporate policies
- Prepare and submit federal and state "blue sky" filings and Form ADV
- Support corporate governance matters, including maintaining records and preparing board meeting materials
- Conduct legal research and analysis on various business law issues
- Coordinate with clients, external counsel, and other professionals on legal matters
- Stay informed about changes in corporate and LLC laws and securities regulations
- Collaborate with cross-functional teams to ensure legal compliance and support client objectives

Requirements:

- Bachelor's degree or equivalent experience, paralegal certification preferred
- Minimum of 4 years of experience as a business paralegal in a law firm or corporate legal department
- Strong knowledge of business law principles, including entity formation, business transactions, and securities laws
- Excellent organizational skills and attention to detail
- Proficiency in legal research and writing
- Strong communication skills, both written and verbal
- Ability to work independently and collaboratively in a team environment
- Proficiency in Microsoft Office suite and relevant software applications
- Experience with EDGAR and FINRA filings
- Familiarity with the Corporate Transparency Act
