Job Description:
- Provide legal support and guidance on corporate transactions including mergers and acquisitions, divestitures, joint ventures and venture capital and start-up investments
- Advise on deal structuring, drafting and reviewing transaction documentation, and leading legal negotiations on complex transactions across multiple jurisdictions
- Collaborate with corporate development, business and functional teams on due diligence and risk assessments for potential transaction opportunities
- Stay updated on relevant legal developments and industry trends impacting practice
- Assist with public and private securities offerings, corporate financing matters, and preparation and review of reports filed with the SEC
- Manage complex and sensitive projects with cross-functional teams
- Interact with senior and executive management
- Provide opportunities for advancement, leadership responsibility, and close collaboration with core team members

- Minimum of 10 years practice experience in M&A, capital markets or securities law matters, with minimum 15 years preferred
- Broad-based knowledge and experience in regulated electric utility business
- Ability to perform well in team-oriented environments
- Excellent academic credentials and communication skills
- Intellectual curiosity and strong work ethic
