Duties and Responsibilities:

  • Represent issuers and investment banks in public and private securities offerings.
  • Provide legal advice to publicly traded companies regarding compliance with the Securities Exchange Act of 1934.
  • Advise clients on exchange listing standards and corporate governance matters.
  • Draft and review registration statements, offering memoranda, and related documents.
  • Conducted due diligence and managed legal aspects of transactions.
  • Collaborate with clients, regulatory agencies, and internal teams to ensure effective communication and resolution of legal issues.
  • Stay abreast of securities laws and regulations changes to provide timely and accurate advice.
  • Mentor and supervise junior attorneys and support staff.
  • Participate in strategic planning and business development efforts within the firm.

Requirements:

  • A minimum of 8+ years of experience in securities and capital markets law.
  • Proven experience representing issuers and investment banks in various securities transactions.
  • Demonstrated expertise in compliance with the Securities Exchange Act of 1934 and exchange listing standards.
  • Relevant prior law firm experience is required.
  • Strong ability to work collaboratively in a team environment.
  • Excellent oral and written communication skills.
  • High level of enthusiasm for client service and initiative.
  • Strong work ethic and commitment to professional excellence.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar.
