Job Description:

The law firm of Goodwin Procter is seeking a highly qualified mid-level associate to join our Debt Finance department in Washington, DC. This is a lateral position and the ideal candidate will have specific experience representing private equity sponsors and/or banks and private credit lenders in connection with term and revolving loan facilities for leveraged buyouts, acquisition financings and corporate growth. The successful candidate will have experience drafting and negotiating commitment papers, credit agreements, and collateral documents.

Job Requirements:
- Outstanding academic credentials
- Comparable law firm experience
- Excellent written and verbal communication skills
- Relevant bar admission (or eligibility to obtain admission promptly)

Responsibilities:
- Represent private equity sponsors and/or banks and private credit lenders in connection with term and revolving loan facilities for leveraged buyouts, acquisition financings, and corporate growth
- Draft and negotiate commitment papers, credit agreements, and collateral documents
- Conduct legal research and draft memoranda on various legal issues
- Communicate with clients and partners regarding case updates and strategy
- Attend meetings, depositions, and court appearances as necessary
- Manage and supervise junior associates and legal assistants

Qualifications:
- 3-5 years of experience in private equity debt finance
- Experience representing private equity sponsors and/or banks and private credit lenders
- Excellent drafting and negotiating skills
- Strong understanding of leveraged buyouts, acquisition financings, and corporate growth
- Knowledge of relevant laws and regulations
- Ability to manage and supervise junior associates and legal assistants
- Outstanding academic credentials and law firm experience
- Bar admission (or eligibility to obtain admission promptly)
