A highly regarded law firm in New York City is seeking a Repurchase Facility / Asset-Based Finance / Capital Markets Associate to join their expanding team. The ideal candidate will have at least 3 years of experience in representing financial institutions, including banks, in complex secured lending transactions. This role offers the opportunity to work on a variety of sophisticated matters related to repurchase agreements, whole loan trades, and warehouse lending backed by commercial and residential real estate assets. Candidates with experience in structured finance, particularly in CRE CLOs, CLOs, and CMBS, are highly encouraged to apply.

Key Responsibilities:

  • Represent financial institutions in various secured lending transactions, including master repurchase agreements, whole loan trades, and other repurchase facility arrangements.
  • Advise clients on warehouse lending transactions, particularly those backed by commercial and residential real estate loans.
  • Structure, negotiate, and draft repurchase agreements, loan facility documents, and other key financing agreements.
  • Provide strategic legal counsel to clients in complex transactions, ensuring compliance with regulatory frameworks and alignment with market practices.
  • Collaborate with cross-functional teams to manage large-scale transactions, ensuring timely and effective deal execution.
  • Develop a deep understanding of emerging trends in structured finance, including CRE CLOs, CLOs, CMBS, SFR, MSR, and other asset-backed finance solutions.
  • Participate in due diligence processes, reviewing loan portfolios, assessing legal risks, and advising on best practices.
  • Stay informed on the latest developments in capital markets and securitization laws, and incorporate this knowledge into client work.

Qualifications:

  • Juris Doctor (JD) from an accredited law school and admission to the state bar.
  • 3+ years of experience in secured lending transactions, with a particular focus on master repurchase agreements and whole loan trades.
  • Hands-on experience with warehouse lending backed by commercial and residential real estate.
  • Prior involvement in structured finance transactions, such as CRE CLOs, CLOs, CMBS, SFR, MSR, and other asset-backed finance.
  • Ability to analyze complex financial documents and assess legal and regulatory compliance issues.
  • Strong drafting, negotiation, and communication skills, with the ability to collaborate effectively with clients and other stakeholders.
  • Ability to manage multiple transactions and work under tight deadlines in a fast-paced environment.
  • Strong attention to detail and excellent organizational skills.

Preferred Skills and Experience:

  • Experience working with financial institutions, including banks, and familiarity with their operations and regulatory requirements.
  • Advanced understanding of securitization and capital markets transactions, including repurchase facilities and other complex financial products.
  • Proven ability to deliver client-focused legal solutions and manage high-stakes negotiations.
  • Strong analytical skills with the ability to identify risks and develop innovative solutions.
