A law firm in Plano, TX, seeks a Transactional Attorney with significant experience in corporate transactions. The ideal candidate will have strong academic credentials, exceptional communication and writing skills, and the ability to work collaboratively within a team environment. This role involves frequent client interaction, requiring mature and confident client relations skills.
Duties and Responsibilities:
- Counsel and support corporate and franchise clients on complex transactions, including mergers and acquisitions, entity formations, joint ventures, and other corporate matters.
- Provide legal advice on corporate governance, policies, procedures, finances, intellectual property, employment, operations, and regulatory compliance.
- Draft, negotiate, and review commercial agreements, strategic relationships, employee agreements, and other transactional documents.
- Advise domestic and international franchise clients, including reviewing franchise disclosure documents (FDDs) and regulatory filings.
- Conduct third-party document reviews, including real estate agreements and franchise-related documents.
- Research and analyze regulations, statutes, and legal issues relevant to corporate and franchise law.
- Handle entity formations, corporate governance matters, and contract review.
- Provide legal support for real estate transactions, if required.
- Communicate complex legal concepts effectively in both written and verbal formats.
- Represent clients in negotiations and meetings with third parties.
Requirements:
- Juris Doctor (JD) degree from an accredited . law school.
- Admission to the State Bar of Texas and in good standing.
- 3+ years of experience practicing law in corporate transactions.
- 2+ years of relevant experience in franchise law preferred.
- Experience in entity formation, corporate governance, contract review, and general corporate matters.
- Strong analytical skills with the ability to research and analyze legal issues comprehensively.
- Excellent interpersonal skills and the ability to work independently or with limited supervision.
- Proficiency in legal research tools and Microsoft Office applications.
