Sheppard, Mullin, Richter & Hampton LLP, a global Am Law 50 law firm, is currently seeking a Finance Associate Attorney with 4+ years of experience to join our San Francisco office. Our firm has over 1,100 attorneys across 16 offices worldwide and our San Francisco office currently has over 100 attorneys practicing in a variety of areas, including Finance & Bankruptcy.

The Finance practice at Sheppard Mullin has been a key element of our firm's practice for over 90 years. We have a team of highly skilled attorneys specializing in all facets of highly structured financial transactions. As a part of our team, you will have the opportunity to work on a variety of complex financial transactions and collaborate with a team of engaged advisors.

We are seeking a candidate with over four (4) years of experience working on structured finance transactions, including securitization and other capital markets transactions. The ideal candidate will have a strong knowledge of commercial law matters, including the Uniform Commercial Code, securities law, and bankruptcy-related issues. In addition, the candidate should have experience drafting complex commercial contracts and legal opinions, as well as managing financial transactions.

Responsibilities:
- Draft complex commercial contracts, including pooling and servicing agreements, administration agreements, indentures, and trust agreements
- Prepare and draft legal opinions, including bankruptcy opinions
- Manage financial transactions, including overseeing the work of junior associates and successfully closing transactions
- Collaborate with a team of engaged advisors to execute complex financial transactions

Requirements:
- 4+ years of experience working on structured finance transactions
- Knowledgeable about commercial law matters, including the Uniform Commercial Code, securities law, and bankruptcy-related issues
- Admitted to and a member in good standing of the California Bar
- Excellent drafting and negotiation skills
- Strong attention to detail and ability to manage multiple projects simultaneously
