Job Title: Corporate Governance Paralegal - Hybrid Opportunity Location: West Des Moines, IA Company: GuideOne Insurance Department: Corporate Legal Experience: - Bachelor's degree preferred - Paralegal certificate preferred - 5 years of paralegal experience - Knowledge of property and casualty insurance compliance and licensing or regulatory related experience, and/or corporate governance matters Responsibilities: - Maintain and monitor the compliance calendar - Review, analyse, and disseminate relevant state and federal legislative changes impacting insurance, corporate and tax laws - Assist General Counsel with research on legal issues and drafting legal documents - Assist with general trademark searches - Draft corporate governance documents - Assist with preparation of annual proxy mailing and meeting materials - Maintain current officer and director NAIC biographies - Maintain bankruptcy and foreclosure log for company - Prepare and manage annual corporate filings - Assist with compilation and filing of state reports - Complete and file quarterly and annual SIU state reports - Manage information flow and responses to regulatory inquiries - Receive and monitor complaints and maintain complaint documentation - Assist with quarterly fine review and maintain corporate fines and penalties spreadsheet - Assist General Counsel with compiling documents for annual corporate insurance policy renewal - Compile necessary documentation for company subpoena and other information requests - Perform other related duties as assigned Qualifications: - Bachelor's degree preferred - Paralegal certificate preferred - 5 years of paralegal experience - Knowledge of property and casualty insurance compliance and licensing or regulatory related experience, and/or corporate governance matters - Proficiency with Westlaw research - Proficiency in Microsoft Office functions - Excellent time management, organizational, and project management skills - Strong analytical and communication skills - Ability to interact comfortably with all levels of the organization - Ability to work autonomously - Demonstrated ability to use commonly used and complex administrative concepts, practices, and procedures within the legal field Benefits: - Competitive base salary plus incentive plans - 401(K) retirement plan with company match - Free Basic Life and AD&D, long-term disability and short-term disability insurance - Medical, dental and vision plans - Wellness incentives - Generous time off program - Flexible work schedules and hybrid/remote options - Educational assistance program Company Overview: GuideOne is a trusted partner in risk solutions and services, with a commitment to making positive change possible.
