The Opportunity:
- Join a large southeastern law firm with a growing national practice
- Work with senior leadership of public and private issuer clients
- Handle a wide range of securities offerings and compliance matters

Responsibilities:
- Work on capital markets transactions, securities regulation issues, corporate governance, and general business matters
- Advise clients in capital markets transactions, including registered and Rule 144A/Reg S offerings of investment grade and high-yield debt, convertible debt, equity offerings, PIPE transactions, ATM offerings, initial public offerings, price placements, and liability management transactions
- Assist public companies with regulatory compliance and SEC reporting, including proxy statements, quarterly and annual reports, and NYSE and Nasdaq rules
- Supervise associates and manage transactions

Requirements:
- 4-6 years of experience at a large law firm with a sophisticated capital markets/securities practice
- Excellent academic record and strong communication skills
- Strong transaction management capabilities
- Experience supervising associates
