Job Title: Corporate Counsel
Job Responsibilities:
Corporate Counsel will be responsible for providing comprehensive legal oversight for the Company's commercial transactions, with a particular focus on design and construction contract negotiations, drafting, and dispute resolution related to large, complex public and private construction projects. The role also involves managing claims, disputes, and litigation involving the Company. This includes handling government claims, commercial disputes, and compliance and personnel matters. Essential duties include:
- Providing general legal advice and representation to the Company on complex legal issues and disputes.
- Managing and directing all aspects of claims, disputes, and litigation involving the Company in collaboration with Legal and Senior Operations management. This includes offering general litigation and strategy advice, contract interpretation, risk and litigation cost assessments, settlement activities, and managing outside counsel.
- Overseeing the discovery process for litigation matters, including distribution of document holds, document production, and e-discovery.
- Developing and delivering training and materials to employees, ensuring the Company's interests are protected in commercial transactions.
- Identifying and resolving unique and complex issues during the commercial contracting process and project execution in collaboration with regional and project management.
- Supporting and assisting with all areas of the Company's compliance programs, leading investigations, and ensuring all compliance-related documents, policies, templates, and processes are current.
- Providing legal advice and support related to labor and employment matters through collaboration with executive management, human resources, regional managers, frontline managers, and employees.
Education and Experience Information:
Candidates must possess an undergraduate degree in any discipline and a juris doctorate degree from an ABA-accredited law school. They must hold a license or other authorization to practice law in Colorado. A minimum of three years of experience involving construction litigation, construction transactions, or legal experience within the construction industry is required, with five or more years preferred. Experience in preparing and litigating government (federal, state, and local) construction claims is also preferred. Additionally, candidates must have the ability to identify business and compliance strengths, weaknesses, threats, risks, and opportunities quickly and accurately and develop appropriate plans for action. They should possess an understanding of commercial insurance and risk management products and practices, and be able to understand, interpret, and advise the Company on complex insurance policies, surety bonds, and related risk management issues. Strong logical reasoning, organizational skills, attention to detail, and advanced proficiency in Microsoft Office Suite are also required. A valid Driver’s License is necessary.
Salary Information:
The compensation range for this position in Colorado is between $130,000 and $160,000 annually.
