Job Title: Legal Counsel

Job Responsibilities:
- Guide, direct, and coordinate select legal-related functions for the company while maintaining a professional image.
- Manage the Legal Department staff, ensuring accountability and clear expectations in coordination with Executive Management.
- Provide consultation and expert legal advice to resolve significant matters for the company.
- Ensure assistance to customers and Bankers via telephone, electronically, or in person, meeting or exceeding company standards as identified in the SMILE program.
- Review, examine, and evaluate the work of the Legal Department for timeliness, accuracy, and completeness.
- Plan, direct, or coordinate activities within the Legal Department, providing feedback and guidance regarding laws, policies, and procedures in targeted areas as directed by Executive Management.
- Ensure completion and validity of weekly work schedules.
- Develop and train new and existing Legal Department staff members; recruit legal staff as needed in coordination with Human Resources.
- Represent the company in court or before government agencies as required.
- Present evidence to defend the company or prosecute on behalf of the company in criminal or civil litigation as needed.
- Argue motions, meet with judges or other legal counsel during cases.
- Study Constitution, statutes, decisions, regulations, and ordinances of quasi-judicial bodies to understand ramifications for cases.
- Interpret laws, rulings, and regulations for the company in areas assigned by Executive Management.
- Prepare legal documents for state and federal courts.
- Examine legal data to determine advisability of defending or prosecuting lawsuits and advise on probable outcomes.
- Assist the Special Asset Committee with asset management, including coordinating repossession, foreclosure, bankruptcy, and other processes.
- Advise select internal departments on legal matters as directed by Executive Management.
- Coordinate with outside counsel on special and complex matters on a limited basis.
- Perform other duties as assigned.

Education and Experience Information:
- Requires a Juris Doctorate (JD) from an accredited university.
- Ability to obtain membership to the Oklahoma Bar Association.
- Minimum of 5 years of related work experience with increasing responsibility.
- Knowledge, skills, and ability to perform essential job requirements.
- Must possess and maintain a valid Oklahoma Driver's License.

Physical Requirements:
- Long periods of standing or sitting, typing, and repetitive motion.
- Ability to lift and carry up to 25 lbs on occasion.
