Job Title: Associate General Counsel, Commercial
Job Responsibilities:
- Primarily support the commercial legal team, with collaboration opportunities with the corporate development legal team during mergers and acquisitions (M&A) transactions.
- Structure, draft, review, negotiate, and manage a variety of commercial agreements, including master service agreements, license agreements, and agreements related to global strategic initiatives, particularly those involving the new Ventura streaming TV operating system.
- Work closely with the team developing the Ventura streaming TV operating system to market cutting-edge technology and content in a unique streaming TV OS, unlocking value for consumers, advertisers, publishers, and OEMs.
- Negotiate deals with major advertising agencies and global brands.
- Collaborate with key leaders across various teams such as Ventura, business development, client services, and finance, to advise on complex legal matters and develop creative solutions for the company's success.
- Advise on M&A transactions as part of the corporate development legal team, focusing on the integration of M&A targets into the company’s product offerings pre- and post-closing.
- Continuously improve legal commercial processes to facilitate global scaling with a consistent yet locally relevant approach, enabling the company to move swiftly and thoughtfully.
- Provide practical advice on legal issues and risks, complex agreement structures, and company policies in a risk-tolerant, compliance-oriented environment.
- Identify, research, analyze, and provide advice on a wide range of relevant legal topics, including licensing, intellectual property, commercial, data security, and privacy law.
- Stay updated on legislative changes that may impact the company globally.
Education and Experience Information:
- 8+ years of in-house experience or a combination of in-house and law firm experience from an internationally or nationally recognized law firm is required.
- Must be admitted to practice law in New York, Illinois, or California, or have the ability to register as In-House Counsel in these states.
- A Juris Doctorate (JD) degree is required.
- Experience in digital advertising, digital media, and/or scaled platforms is required.
- Experience in leading legal negotiations with large global companies is strongly preferred.
- Must possess excellent business judgment, superior leadership skills, and a strong commitment to providing timely and high-quality client service.
- Ability to thrive in a fast-paced environment while managing competing, time-sensitive demands.
- Excellent legal skills are required, including significant experience in structuring, drafting, reviewing, and negotiating a variety of commercial technology agreements, and identifying key data and privacy issues.
- Excellent interpersonal skills are essential, with a sense of humor being a plus.
- Ability to communicate complex legal concepts in layman's terms.
Salary Information:
- The base salary range for this role is $151,100 to $277,000 USD.
- The actual amount may vary based on factors such as experience, knowledge, skills, abilities, and location.
- Employees may be eligible to become company shareholders through stock-based compensation grants, awarded based on company and individual performance.
- Additional compensation may include sales-based incentives and commissions, depending on the role.
