Job Title: Senior Corporate Counsel, Compliance & Commercial

Job Responsibilities:

The Senior Corporate Counsel, Compliance & Commercial is tasked with providing legal and regulatory guidance to the organization, ensuring compliance with applicable laws and regulations. This role involves negotiating and drafting complex commercial transactions, particularly technology agreements, and offering compliance support across the organization. The responsibilities include:

- Drafting, reviewing, and negotiating complex technology agreements, including licensing, customer, and vendor agreements, as well as strategic partnerships.
- Advising on contract structure and associated risks, ensuring alignment with organizational goals and regulatory requirements.
- Collaborating with business partners on agreement structure, strategy, execution, and ongoing contractual obligations.
- Acting as the legal subject matter expert on federal and state healthcare laws and regulations, including HIPAA.
- Providing legal guidance on privacy and data security issues.
- Reviewing, interpreting, and advising on laws and regulations related to the organization's products and services, including for Medicare Advantage and ACA Exchanges business.
- Interacting with vendors and customers on legal and regulatory issues.
- Serving as the Compliance Official and supporting compliance initiatives, including audits, training, and policy development.
- Partnering with key compliance stakeholders, including product teams and HR, to deliver regulatory guidance, compliance training, and awareness campaigns.
- Creating and delivering training programs for employees.
- Assisting in investigating compliance issues and resolving any identified violations or concerns, supporting remediation efforts as needed.
- Supporting third-party risk management programs, advising on customer, supplier, and partner compliance programs.

Education and Experience Information:

- Juris Doctor (JD) degree from an accredited law school and licensed to practice law.
- A minimum of 10 years of experience as a practicing attorney, including experience in an in-house legal department.
- At least 5 years of experience managing the work of others.
- Significant experience in negotiating complex commercial transactions, including technology agreements.
- Experience providing counsel on compliance issues, particularly related to HIPAA.
- Experience supporting Medicare Advantage and ACA Exchanges business.
