Job Title: Underwriter, Global Transaction Solutions
Job Responsibilities:
The Underwriter in the Global Transaction Solutions (GTS) group is tasked with underwriting transactional risk insurance products, with a specialization in Representations & Warranties (R&W) insurance. Key responsibilities include:
- Conducting business and legal reviews of Mergers & Acquisitions (M&A) deals, which involves assessing risk, reviewing transaction documents, managing the disclosure process, analyzing diligence reports, and participating in discussions with the deal team as part of underwriting R&W insurance policies.
- Assessing the insurability of risks and negotiating and drafting policies for insured risks.
- Cultivating and forming relationships with M&A production and distribution sources, focusing on brokers, law firms, private equity firms, investment banks, and accounting firms.
- Traveling within the region for client visits, with periodic travel to regional North American offices and occasional international travel.
- Mentoring and developing junior members of the GTS team.
Education and Experience Information:
- A Juris Doctor degree is strongly preferred for this role.
- Candidates should have previous legal M&A experience at a reputable law firm, accounting firm, investment bank, or in-house M&A counsel role at a Fortune 500 company.
- Candidates should possess sound decision-making and analytical skills, excellent verbal and written communication skills, strong negotiation skills, and strong legal drafting skills.
- A broad understanding of legal concepts, including negotiating representations/warranties and indemnities in a purchase agreement, is essential.
- Interpersonal and relationship-building skills are important, along with business, financial, and risk awareness.
Salary Information:
- The typical starting salary range for this role is between $175,000 and $230,000, determined by factors such as skills, experience, education, certifications, and location.
- The full salary range for this role is from $97,000 to $269,000, reflecting the competitive labor market value across the national market and providing opportunities for progression as employees grow and develop within the role.
- Some roles may include commission and/or bonus earnings based on factors set forth in the compensation plan for the role.
