Job Overview:
A well-established law firm located in Atlanta, GA, is seeking a driven and detail-oriented Mid-Level Associate Attorney to join its dynamic Mergers and Acquisitions and Corporate Finance team. The role focuses on handling high-value private equity transactions, managing complex deal timelines, and providing strategic legal guidance throughout all stages of M&A transactions. This opportunity is offered through a legal recruiting agency on behalf of the hiring law firm.
Duties:
Lead and coordinate sophisticated M&A transactions, with a focus on private equity deals
Draft and negotiate equity and asset purchase agreements, along with related transaction documents
Manage transaction workflows, collaborating with specialists and junior team members
Conduct and summarize comprehensive legal due diligence
Engage with clients, investment banks, and outside advisors to deliver commercially sound legal counsel
Provide concise, strategic, and actionable legal advice on complex corporate issues
Maintain proactive oversight of multiple ongoing client matters
Demonstrate ownership of client engagements and a high degree of responsibility
Requirements:
4-6 years of experience in M&A and corporate transactions within a reputable law firm
Demonstrated experience managing private company transactions from start to finish
Strong command of M&A structures, deal documentation, and negotiation strategy
Exceptional legal writing and verbal communication skills
Proven ability to prioritize tasks and meet deadlines under pressure
Collaborative mindset with a proactive, detail-oriented approach to problem-solving
Education:
Juris Doctor (.) from an accredited . law school
Certifications:
Admitted to the Georgia Bar or eligible for immediate waiver/admission
Skills:
Strong analytical and organizational skills
Excellent interpersonal communication and client management abilities
High level of accuracy and attention to detail
Capacity to work independently and in cross-functional teams
Advanced knowledge of transactional law, particularly in the context of M&A and private equity
