Job Title: Assistant General Counsel - Contracts

Job Responsibilities:
As an Assistant General Counsel, the primary responsibility is to draft and negotiate a wide range of complex commercial contracts. This includes agreements for goods and services, IT and software, consulting, engineering, co-manufacturing, R&D, licensing, and distribution. The role involves providing strategic legal advice to business units and management to ensure legal considerations are seamlessly integrated into business decisions. The Assistant General Counsel is expected to stay current with relevant laws, regulations, and best practices, using this knowledge to draft and review agreements and provide sound legal advice. The role also involves maintaining compliance with company policies, updating contract templates, playbooks, and standard operating procedures.

Collaboration is a key aspect of the position, requiring close work with cross-functional teams to incorporate legal considerations into business decision-making processes. The Assistant General Counsel will manage and consult with outside counsel as needed and develop and conduct legal training programs for business personnel to ensure they are well-informed about relevant legal matters. The role involves handling multiple projects simultaneously, meeting deadlines, and maintaining high standards of work. Building and maintaining effective working relationships with colleagues, business leaders, and staff is essential, as is ensuring compliance with applicable quality, environmental, and safety regulations.

Education and Experience Information:
The position requires a Juris Doctorate plus 7 years of experience, including general and transactional legal practice, and complex contract drafting and negotiation experience, reflecting increasing levels of responsibility. The candidate should be a member of the California State Bar. Preferred qualifications include 10 or more years representing business clients in a sophisticated law firm and/or in-house practice, with demonstrated 10 years of experience in contract law and the ability to efficiently draft, review, and negotiate a variety of complex contracts. Strong analytical and critical thinking skills, business acumen, and strong negotiation skills are essential, as is flexibility and success working in a fast-paced, change-oriented environment. The candidate should have experience demonstrating negotiation skills, the ability to influence and leverage relationships, and working as a team player striving for building consensus. Effective time management, detail orientation, and excellent organizational and verbal and written communication skills are important.

Salary Information:
The hiring salary range for this position is posted as $201,675 - $336,125 annually, with a 20% performance bonus potential. Actual compensation paid within the range will be determined by factors such as the education, experience, knowledge, skills, and abilities of the applicant, internal equity, and alignment with market data.

Additional Information:
The position is based in the Modesto Corporate Administration building with an option for occasional telecommuting. The candidate is expected to live within a commutable distance. Travel is required to company offices, sites, and/or meeting locations for onboarding, training, meetings, and events for development, department needs, and business delivery up to 5% of the time, with or without reasonable accommodation.
