Job Title: Corporate Counsel
Job Responsibilities:
- Provide high-quality, complex, solution-oriented legal services.
- Collaborate with the legal team and internal business units to develop strategies and priorities and independently implement those decisions.
- Assist in advising senior management and support rapid corporate growth.
- Ensure compliance of business operations with applicable laws and regulations.
- Review customer and vendor contracts, and provide guidance on risk management and mitigation across the enterprise.
- Assist in responding to RFPs from facility customers.
- Manage claims and litigation, including coordination with insurance carriers, outside counsel, document production, strategy options, and lessons learned.
- Prepare and review public disclosures, SEC, and other reporting requirements.
- Develop training materials and provide training as assigned.
- Provide legal services related to procurement and contracting laws, privacy/data security, and intellectual property matters.
- Engage and manage outside counsel as necessary.
- Advise and coordinate with internal clients on current and future risks.
- Travel as necessary to understand clients' operational framework and needs.
- Draft, update, and maintain policies as needed.
- Contribute to the development of the Legal Department, aligning with its vision and mission for consistent messaging and risk tolerance.
Education and Experience Information:
- required.
- Minimum of 3-5 years of in-house legal experience or law firm experience (or a combination of both).
- Experience with general corporate law, technology, finance, privacy compliance, and related regulatory issues, with preference for SEC-related and/or IP experience.
- Proven ability to manage multiple projects and tasks simultaneously within financial budgets.
- Demonstrated collaboration, teamwork, feedback skills, and motivation for continuous improvement in in-house practice.
- Strong contract negotiation skills.
- Ability to communicate concisely and candidly.
- Strong commitment to ethics and compliance.
- Excellent interpersonal skills and flexibility.
- Licensed and in good standing in at least one State Bar.
- In-house experience at a public company is strongly preferred.
- Proficient with Microsoft Office software such as Word, Excel, and PowerPoint.
- Limited travel required, up to 10%.
