Job Title: Corporate Attorney (5+ years)

Job Responsibilities:
- Work in a thriving, diverse corporate legal practice.
- Support entity formation including private companies, limited liability companies, limited partnerships, and joint ventures.
- Handle mergers and acquisitions (M&A), securities, debt and equity financing.
- Conduct due diligence and manage commercial contracts, private placements, and credit agreements.
- Effectively manage both large and smaller M&A transactions.
- Manage complex transactions, which include preparing client-ready documents, handling client exposure, and interacting across offices and practice groups.
- Serve clients in at least one of the seven key industry sectors: Technology; Healthcare and Life Sciences; Consumer Products, Manufacturing and Retail; Natural Resources; Real Estate and Construction; Ports and Maritime; and Indian Country and Alaska Native Corporations.
- Maintain a strong entrepreneurial, growth, and client service mindset.

Education and Experience Information:
- Minimum of five years of corporate legal work experience.
- Experience in a law firm setting is preferred.
- Admission to the Oregon or Washington State Bar, or eligibility for reciprocity, is required.

Salary Information:
- Base pay range for this position is $165,000-$200,000, depending on job skills and legal practice experience relevant to the position.
- Higher base compensation may be available for candidates with a portable book of business.
- The position is eligible for productivity and discretionary merit bonus consideration at the end of each calendar year.

Additional Information:
- The position is based in the Portland, Seattle, or Vancouver offices.
- Requires in-person work in the offices on Tuesdays, Wednesdays, and Thursdays, with flexibility to work offsite on Mondays and Fridays.
