Job Responsibilities:
The Counsel-Transactional Bankruptcy at the company will support the Financial Institutions business unit within the Merchant Solutions division. The primary responsibilities include:
- Drafting and negotiating agreements with strategic bank partners and resellers.
- Providing legal support to the company's credit and risk teams, including advice on bankruptcy-related matters concerning merchant clients.
- Offering advice on laws and rules, including those related to bankruptcy, impacting the transaction processing businesses.
- Preparing and negotiating commercial agreements directly with business unit representatives.
- Advising business partners on legal, contractual, and risk matters impacting their business unit or product set.
- Partnering with product teams to commercialize new products and functionality.
- Providing consultation and legal advice on strategic initiatives, technology projects, dispute resolution, and merchant client bankruptcy-related matters.
- Interacting effectively with corporate specialists regarding credit, risk, finance, audit, tax, regulatory, privacy, and technology matters impacting the Merchant Solutions division.
- Developing and maintaining forms of contracts and other legal documentation.
Education and Experience Information:
- Juris Doctor (JD) degree from an accredited law school and licensed to practice. Ability to become licensed as in-house counsel to practice in the applicable state.
- In good standing with the State Bar with no disciplinary record.
- Experience as a transactional lawyer or bankruptcy transactional lawyer.
- Experience in drafting and negotiating commercial agreements.
- At least 4 years of experience providing legal advice related to bankruptcy matters.
- Experience interacting with senior management is preferred.
- Experience in navigating data use and privacy matters is advantageous.
- Experience in technical contract negotiation is beneficial.
- Exposure to financial services and technology contracts is desirable.
