Job Overview:
A top-tier international law firm is seeking a Senior Associate or Of Counsel with at least seven years of experience to join its Executive Compensation, Benefits, and ERISA practice. This role is focused on advising clients in complex transactional matters involving M&A, private equity, and corporate restructurings. The ideal candidate will have deep experience in executive compensation, employee benefits, and related disclosure and compliance ;
Location:

Duties:
Advise clients on executive compensation, employee benefits, and ERISA matters in the context of M&A, private equity, and restructuring transactions
Conduct due diligence and negotiate transaction-related agreements with a focus on compensation and benefits implications
Analyze and advise on IRC § 280G and prepare related documentation
Draft and review employment, severance, change-in-control, and equity incentive agreements
Counsel on SEC compensation disclosure rules for public companies
Address issues involving tax-qualified retirement and welfare benefit plans
Collaborate with internal deal teams to provide coordinated advice on transactional matters
Provide strategic counsel on regulatory compliance and general employment issues related to compensation and benefits
Requirements:
Minimum of 7 years of experience in executive compensation, employee benefits, and ERISA
Extensive transactional experience, especially in M&A, private equity, and restructuring contexts
Deep understanding of equity compensation plans and incentive arrangements
Familiarity with public company disclosure obligations under SEC regulations
Experience with tax-qualified plan compliance and general employment law is preferred
Education:
Juris Doctor (JD) from an accredited . law school
Strong academic background required
Certifications:
Admitted to practice and in good standing in California

Strong legal drafting and analytical abilities
Excellent verbal and written communication skills
Strategic thinker with the ability to navigate complex regulatory frameworks
Highly organized and capable of managing multiple high-stakes transactions
Proven ability to collaborate effectively with interdisciplinary legal teams and corporate clients
