Job Title: Associate Counsel
Job Responsibilities:
The Associate Counsel will serve an integral role within the company by providing comprehensive legal support and guidance across various departments and business groups. Key responsibilities include:
- Reviewing, drafting, negotiating, and advising on a wide array of contracts such as employment agreements, equity documents, independent contractor agreements, vendor agreements, client agreements, collaborative agreements, and confidentiality agreements.
- Collaborating with multi-functional transactional teams, including corporate and business development, accounting, sales, and human resources, to develop company policies, processes, and ensure legal compliance.
- Assisting both internal and external legal counsel by providing guidance on legal matters and anticipating, mitigating, and advising on potential legal issues that may arise across corporate groups, client engagements, and third-party relationships.
- Advising corporate departments and business groups on privacy laws, regulations, and related industry standards that impact the company, including coordinating and synthesizing advice from external counsel as needed.
- Working with external counsel and internal business teams to respond to subpoenas and litigation discovery requests.
- Supporting merger and acquisition activities by collecting, reviewing, and preparing information for due diligence.
- Reviewing and revising internal legal policies, processes, and procedures.
- Performing other duties as assigned.
Education and Experience Information:
Candidates are required to have a Juris Doctor degree from an ABA-accredited law school. Additionally, they must be a member in good standing of at least one State Bar or the District of Columbia State Bar. Preferred candidates will have experience in privacy and data protection laws and regulations, including . State and federal consumer protection and privacy laws, GDPR, and other privacy laws. Experience in reviewing, drafting, and negotiating contracts is also preferred. A minimum of two years of related work experience is required.
Skills:
The Associate Counsel must possess excellent verbal and written communication skills and the ability to provide legal guidance in a practical, business-oriented manner to non-lawyer company representatives. This requires advanced analytical, problem-solving, and time management skills, as well as strong interpersonal skills to establish good professional relationships with internal clients, management, and legal colleagues. The role demands excellent planning, organizational, and prioritization skills, including the ability to multi-task on multiple high-priority projects. Candidates should demonstrate good judgment, including good business judgment, and have contract review, drafting, and negotiation experience, which is preferred but not required. Proficiency in Microsoft Office products is also necessary.
