Contracts Specialist/Contracts Manager

Job Responsibilities

The Contracts Specialist/Contracts Manager will be responsible for a comprehensive range of contract management functions. These responsibilities include proposal development, contract review, drafting, negotiation, closeout, and overseeing subcontract and procurement management. The role also involves supporting all aspects of the company's risk management process. Key duties include:

- Reviewing contractual documents to ensure accuracy, assess performance risk, and ensure conformance with contract terms and conditions, including federal regulations and business objectives. This encompasses various agreements such as contracts, purchase orders, non-disclosure agreements, teaming agreements, subcontractor agreements, consultant agreements, and vendor agreements.
- Providing support for bid review and proposal requests, specifically focusing on reviewing contractual and legal terms and conditions.
- Corresponding with clients regarding contract status, including contract acknowledgments and applicable terms and conditions, and handling requests for additional information.
- Collaborating with the Contracts Team, particularly the Contracts Assistant, to facilitate contract closeout and execution.
- Ensuring the timely approval and closeout of contracts within the company's internal contract management system.
- Negotiating with clients to reconcile differences in desired terms and conditions to finalize agreements.
- Working with team members to ensure comprehensive understanding and execution of contract requirements.
- Supporting administrative responsibilities of the contract routing process using the company's automated process software.
- Coordinating functions associated with the insurance requirements of contracts.
- Supporting annual insurance, financial, and client audits.
- Developing strong working relationships with other Contracts Team members and staff across all levels of the organization and market segments.
- Reviewing and updating contract administration and routing processes to align with current and future business objectives.
- Assisting In-House Counsel in managing internal and external legal matters and coordinating with external legal counsel, including assisting with responses to legal orders and internal compliance.
- Developing expertise in specific or novel legal or policy areas relevant to the company's business operations and future growth, serving as an in-house source of knowledge and advice.
- Enhancing understanding and exposure to emerging technologies in nuclear and renewable energy, as well as health and life science product development.
- Conducting training for newly hired corporate staff on the company's contract review and routing processes.

Education and Experience

- The job title designation (Contracts Specialist or Contracts Manager) is contingent upon the candidate’s years of experience.
- A Bachelor’s degree is required for this position. A Juris Doctorate is desired, and having a bar license is considered a plus.
- Candidates should possess at least five (5) to seven (7) years of working experience in the field of contracts management.
- For candidates who do not have a Juris Doctorate, certification in contract management is strongly desired.
- Candidates should have knowledge of contracting concepts, contract terms, and applicable acquisition laws and regulations.
- Experience with commercial and federal government terms and conditions is desired.
- A general understanding of contracts administration is required to provide daily support of contracts routing process and contract review.
- Experience with contract management and routing systems is strongly desired.

Skills – Technical

- Adequate knowledge of the law governing contracts and experience in reviewing and negotiating contracts is essential, including substantial experience in drafting and revising contract clauses to ensure consistency with business risk objectives.
- Must have experience in reviewing and negotiating agreements related to the provision of professional services, including professional service agreements, master services agreements, non-disclosure and confidentiality agreements, teaming and collaboration agreements, and subcontracts.
- The candidate should be conversant with regulatory, legislative, and industrial changes governing the company’s client industries.
- A high degree of proficiency in MS Office (Outlook, Word, and Excel) is required. General knowledge of PowerPoint is a plus.
