A law firm based in Burlington, Vermont is looking to expand its business advisory and transactional legal team. This opportunity is ideal for a legal professional with a strong foundation in business formation, financing, and corporate governance. The role offers flexibility in work arrangement and the chance to work with dynamic, high-growth companies and investment groups across various sectors.
Advise emerging enterprises on entity formation, structure, and compliance
Draft and negotiate investment instruments including convertible notes, SAFEs, and preferred stock purchase agreements
Manage equity administration and corporate records, including board consents, shareholder agreements, and stock option issuances
Guide clients through venture capital funding rounds, including securities compliance
Collaborate with colleagues on complex transactions involving international and domestic investments
Provide strategic legal insight into day-to-day business decisions
Maintain up-to-date knowledge of relevant laws and evolving industry practices
3 years of focused experience in corporate and startup law at a reputable law firm
Demonstrated expertise in early-stage financing structures and securities law compliance
Ability to operate independently and efficiently in a fast-paced, client-focused environment
Familiarity with equity management platforms such as Carta is preferred
While not required, a modest portable book of clients is considered a bonus
Juris Doctor (JD) from an accredited . law school
Must be admitted to practice law in at least one . jurisdiction
Strong drafting and negotiation skills
Deep understanding of startup equity and capitalization structures
High attention to detail and organizational skills
Excellent client communication and relationship management abilities
Strategic thinker with a pragmatic, business-oriented approach to legal issues
