Job Overview:
A law firm is seeking an experienced Public Companies Attorney to join its market-leading Capital Markets practice. This position offers an opportunity to work with publicly traded clients, particularly in the technology and life sciences industries, as well as investors in public companies. The firm is looking for a candidate with a solid background in public offerings, SEC reporting, corporate governance, and compliance matters. This is an excellent opportunity for a driven individual to contribute to a rapidly growing practice, working directly with company executives and boards of directors on sophisticated matters at the regional, national, and international levels.

Location:
Raleigh, North Carolina

Duties:

  • Advise clients on public offerings, including IPOs and secondary offerings
  • Provide counsel on SEC reporting and disclosure requirements
  • Advise on corporate governance matters and stock exchange rules
  • Collaborate with clients' executives and boards of directors on legal strategy
  • Draft and review SEC filings, including 10-Ks, 10-Qs, and 8-Ks
  • Assist clients with compliance regarding the Sarbanes-Oxley Act and Dodd-Frank Act
  • Provide ongoing legal support to publicly traded companies on various corporate matters
  • Develop strong relationships with clients and act as a trusted advisor

Requirements:

  • 3+ years of law firm experience in public company representation
  • Strong understanding of SEC reporting, corporate governance, and public offerings
  • Experience advising on public offerings and SEC filings
  • Proven ability to interact with executives and boards of directors
  • NC Bar admission or ability to waive in preferred
  • Outstanding academic credentials, including undergraduate and law school achievements
  • Excellent written, analytical, and verbal communication skills
  • Ability to manage client relationships and complex legal matters independently

Education:

  • Juris Doctor (.) from an accredited law school

Certifications:

  • NC Bar admission (or ability to waive in)

Skills:

  • Expertise in public offerings, SEC reporting, and corporate governance
  • Strong legal writing and drafting skills, including SEC filings
  • Excellent research and analytical abilities
  • Ability to effectively communicate complex legal issues to clients and executives
  • Strong interpersonal and relationship-building skills
  • High attention to detail and organizational abilities
