Job Title: Corporate Counsel
Job Responsibilities:
- Review contracts prior to execution on behalf of the company. This includes drafting, revising, and negotiating terms as appropriate. The Corporate Counsel will provide advice regarding and participate in contract negotiations and transactional matters. They will also draft and manage template framework contracts and specific terms and conditions for various departments. Additionally, the role involves assisting in contract management coordination, including the maintenance and enforcement of contract-related policies.
- Provide legal advice on data governance, encompassing data privacy, cybersecurity, and other data protection related topics. The Corporate Counsel will ensure compliance with applicable laws and regulations in these areas.
- Offer legal advice on a variety of regulatory topics, including e-commerce, advertising, and other retail/commerce-related regulations. The role requires assisting in supporting trade compliance efforts, including tariff analysis and export control, where applicable.
- Stay current on developments in federal, state, and local laws and regulations. The Corporate Counsel will consult with the General Counsel, Assistant General Counsel, and company management regarding legislative and regulatory changes, as well as significant court rulings. They will provide advice to branch management regarding state and local regulations relating to dealership relations.
- Provide legal advice on bankruptcy-related matters, supplier/dealer disputes, and commercial litigation or claims brought by or against the company. The Corporate Counsel will work with outside counsel on the management of any potential litigation or disputes, where appropriate.
- Support the Product Information and Product Compliance departments in regulatory product compliance topics, including state-specific legislation, chemical compliance, emissions compliance, and product liability as needed.
- Communicate and interact with outside counsel as required.
Education and Experience Information:
- A doctoral degree or equivalent (., .) is required for this position.
- Admission to the Virginia (or other) State Bar is necessary.
- The ideal candidate should have 5+ years of experience in general civil legal practice. Experience in a top-tier law firm or in-house counsel experience is preferred.
- The candidate must possess exceptional legal writing and research skills, along with excellent verbal and written communication skills.
