Job Title: Senior Counsel, Corporate and Business Development
Job Responsibilities:
- Lead the drafting, negotiation, structuring, and counseling on various transactions, including mergers and acquisitions, strategic equity investments, strategic divestitures, global licenses, collaborations, partnerships, and other related transactions.
- Identify and resolve critical legal and business issues arising from transactions.
- Oversee and manage the legal due diligence process.
- Partner with Corporate Development and Business Development clients to ensure strategic alignment in all transactions, escalating matters as appropriate.
- Manage business relationships and counsel business clients on transaction and strategic issues pertaining to strategic alliance partnerships and collaborations.
- Contribute to the development of a high-performance legal transactions team and foster a collaborative culture with peers in the legal department and other key functions.
- Manage and organize antitrust approvals and negotiations with antitrust authorities and regulators as needed.
- Demonstrate a service-oriented approach to advising internal client groups.
- Fully commit to the Company’s mission and values.
Education and Experience Information:
- Law degree with qualification to practice law in New Jersey or the ability to obtain a NJ in-house counsel limited license.
- Minimum of 10 years of legal experience.
- Experience in drafting and negotiating complex transaction agreements related to the bio/pharmaceutical or life-sciences industry, including license agreements, collaboration agreements, acquisitions, and divestitures.
- Understanding of the bio-pharmaceutical/life-sciences industry.
- Excellent interpersonal skills to manage internal client expectations and work effectively in cross-functional teams and a matrix environment.
- Creative, thoughtful, and practical problem-solving skills.
- High integrity with the ability to assess risk, make decisions, and think strategically while applying knowledge of applicable legal issues.
- Ability to communicate effectively with management and senior management personnel.
- Capability to train and develop team members.
- Ability to work independently and efficiently toward broad objectives.
- Strong work ethic.
Salary Information:
- The starting compensation for this position in California, Massachusetts, and Washington ranges from $243,470 to $295,000, plus incentive cash and stock opportunities based on eligibility.
- The starting pay rate considers job characteristics, such as required skills and location of the job.
- Final individual compensation will be determined based on demonstrated experience.
