**Members Only**, a leading law firm, is seeking a 4th-5th year attorney with experience in private equity and M&A to join our team in Colorado. As an associate, you will have the opportunity to work with top clients and gain valuable experience in drafting, negotiating, and managing transactions in the private equity space.

Key Responsibilities:
- Draft and negotiate purchase and merger agreements, LLC and LP agreements, and other transaction documents
- Provide day-to-day support for private equity fund and portfolio company clients
- Utilize strong analytical skills to review and analyze legal documents
- Assist with business and strategic decisions for clients
- Work collaboratively with a team of attorneys and professionals

Requirements:
- 4th-5th year attorney with experience in private equity and M&A
- Excellent drafting, writing, and analytical skills
- Strong attention to detail and organizational skills
- Excellent verbal and interpersonal communication skills
- Prior experience with private equity sponsors at a large law firm
- Good business and strategic judgment

Salary Information:
- Expected annual pay range: $310,000 - $365,000
- Final offer amount dependent on geographic location, experience, and skillset
