Job Overview:
A distinguished law firm based in Los Angeles, CA is seeking a mid-level legal practitioner with a strong background in federal income taxation. This position centers on complex transactional work, offering the opportunity to counsel clients across a spectrum of industries and structures. Duties:

  • Advise on federal tax matters in connection with diverse transactions including:

    • Mergers & acquisitions (domestic and international)

    • Private equity structuring

    • Fund formation and venture capital investments

    • Bankruptcy tax planning and distressed asset workouts

    • Structured real estate arrangements, including REITs

    • Capital markets transactions and financial product taxation

  • Analyze and interpret tax codes and regulations to advise corporate clients and investment funds

  • Draft, review, and negotiate tax aspects of deal documentation

  • Conduct due diligence and support deal teams on structuring and execution

  • Work independently on components of matters while integrating with larger legal teams

Requirements:

  • 3-5 years of hands-on experience in federal income tax law at a major legal institution or highly respected boutique

  • Demonstrated ability to advise on multi-faceted transactional matters

  • Familiarity with tax aspects of partnerships, corporations, and cross-border structures

  • Capable of handling time-sensitive matters across multiple engagements

Education:

  • Juris Doctor (.) from an accredited . law school

Certifications:

  • Active membership in the California Bar (or eligibility for prompt admission)

Skills:

  • Precise legal drafting and analytical writing abilities

  • Strong interpersonal and client communication skills

  • Self-motivated with excellent organizational capabilities

  • Confident decision-making in a fast-paced, team-oriented setting
